Job Description

We’re looking for a Senior Manager, Corporate Finance – Business Integration to join us in London.

The Senior Manager, Corporate Finance – Business Integration plays an important co-ordination and support role in Merger, Acquisition and Venture activity in the Liberty Global ecosystem. This is achieved through playing role in  various key transaction workstreams, whilst supporting others. From an Integration/Separation perspective, the Senior Manager will be responsible for assisting in the co-ordination and analysis of operations and affiliates within the Liberty Global portfolio, leveraging the expertise of central services.

What will you be doing? 

M&A Transactions

  • Develop  detailed  financial  models  to  analyze  the  impact  of  the  transaction  on  key  financial metrics
  • Support  the  Financial  Due  Diligence  process,  either  assisting  third  party  service  providers  to  complete their assignments or coordinating/completing due diligence analysis directly
  • Responsible  for  coordinating/supporting  analysis  of  Synergies  /  Dis-synergies  based  on  bottom  up analysis backed by LG benchmarks
  • Lead  aspects  of  synergy  estimation  and  manage  coordination  with  relevant  Strategy  team personnel to ensure these are accurately reflected in the business plan
  • During the diligence phase, support the cost synergy validation process
  • Work  with  Strategy  and/or  Corporate  Development  to  constructively  challenge  key  business  plan assumptions to ensure plans are stress tested
  • Work with M&A and Strategy to ensure key finance inputs such as Tax, Treasury, Working Capital and Accounting are incorporated into acquisition plans through engagement of relevant subject matter experts
  • Work with M&A, Legal and subject matter experts to create and cost MSA/TSA agreements in relation to Liberty Global Corporate Services
  • Preparation  of  briefing  materials  for  Senior  Finance  management  on  key  topics  and  status  of  M&A transactions
  • Oversee certain transaction related tasks allocated to more junior members

Integration/Separation

  • Co-ordinate/support  the  creation  of  a  standardized  CAR  approach  for  the  evaluation  and  performance monitoring of all acquisition plans
  • Post signing, play a supporting role in the integration planning process with a strong focus on synergy delivery and Day 1 readiness
  • Post signing, play a lead role in coordinating any separation program activity, ensuring progress is tracked and key milestones are achieved
  • Post  closure,  support  synergy  realization  and  coordinate/provide  analysis  of  targeted  versus  achieved synergy results
  • Support local teams in the delivery of integration plans across LG affiliates
  • Support the coordination of post-acquisition integration in conjunction with various LG groups
  • Oversee certain integration related tasks allocated to more junior members of staff (analysts, graduates)

Ventures

  • Assist  Senior  Finance  leaders  with  building  better  relations  between  Liberty  Global  and  our  diverse portfolio of ventures
  • Assisting  in  the  analysis  of  current  and  prospective  portfolio  investments,  specifically  alignment  to  LG Finance Standards and Principles
  • Coordinate  the  creation  of  value  adding  corporate  service  offerings  to  ventures/affiliates  through engagement with relevant Liberty Global subject matter experts
  • Assist ventures with ad hoc project requirements e.g. business plan reviews

  • Proven M&A and Integration experience
  • Proven financial modelling skills: able to create and maintain sophisticated financial models to support various business initiatives and investment strategies
  • Able to work across numerous departments to achieve a common goal, with a track record of making a positive impact
  •  Excellent analytical skills with strong attention to detail, whilst maintaining big picture perspective
  • Experience managing a high performing team
  • Excellent presentation skills and stakeholder engagement ability
  • Finance qualification (desirable but not essential)
